Certares and New 2ND Capital close an unpriced Guardian Alarm continuation vehicle

Four days after Amulet's unpriced fertility CV, the GP-led market has another closed deal whose mark nobody outside the room can see.

Certares and New 2ND Capital have closed a GP-led continuation fund for Guardian Alarm, a Southfield, Michigan provider of security, fire and automation systems to commercial and residential customers across more than 10 states in the Midwest and South. PE Hub's report of the close carries the deal and little else—no price for the vehicle, no split between rolled and new capital, no account of how the LPs voted or at what mark. Four days earlier, this publication logged Amulet's close of a US Fertility continuation vehicle, equally unpriced; a fertility platform and a security systems business share almost no sector DNA, yet the missing number travels across both.

The reason is structural. In a GP-led deal the sponsor's mark becomes the reference point for everyone else at the table—the LPs weighing whether to roll at that number, the LPs taking the cash option struck off the same number, any incoming capital underwriting alongside it. Publish the mark and the sponsor invites a market to grade it; keep it private and only the parties already committed can see it. That asymmetry is the pricing regime of the GP-led market, and it tilts toward the sponsor whenever the underlying asset lacks a clean comparable.

The sponsors' disclosed profile suggests a platform with an installed customer base, not a single-market operator. The coverage also does not say how much new capital the vehicle raised, whether a lead buyer anchored it, or how many existing LPs chose to roll, let alone whether the terms offered to those LPs reflected the value of that footprint. What is public is the closing itself.

Two closed continuation vehicles four days apart, both unpriced, are a thin sample, but a third would start to look like a convention in which the mark exists as a private document rather than a market datapoint. Buyers with no public benchmark will go on pricing these assets off their own balance sheets rather than the cash flows in front of them, and the gap between the anchored, priced LP-led trade and the unpriced GP-led one widens with every close that lands without a number.
