Amulet closes a US Fertility continuation vehicle with no reported price

The fertility comp is a number the sponsor and lead buyer keep to themselves.

Amulet Capital Partners has closed a continuation vehicle to recapitalize US Fertility, part of a PE Hub roundup published on 18 September that attributed the deal to increased demand for fertility treatment. The item carries a sponsor, an asset, a closed CV and a demand thesis, and little else: no size, no valuation, no rollover split, and no buyer named for the new money.

PWD reported on 14 September that StepStone was leading a continuation vehicle for US Fertility, a deal whose announcement led with a family count instead of a price, and three days later argued that the vehicle prices off the sponsor's own mark, equity in a services business valued with no trading comparable in sight. The PE Hub item does not say whether the CV it describes is that same vehicle; the dates and the asset make it likely, but the coverage alone supports an inference, not a confirmation.

A missing price is common in this corner of the market, and for a fertility business it is nearly built in. With no listed comparable an LP can check an offer against, an investor weighing a roll against cash has almost nothing independent to consult, so the number a lead buyer agrees with a sponsor becomes the reference for everyone in the structure.

Secondaries capital has outgrown quality deal flow, and the scarce thing is being on the list of buyers a sponsor calls when it decides to hold an asset instead of selling it. Nothing in the US Fertility reporting cuts against that: the coverage credits rising fertility demand, and demand is also the cleanest reason a sponsor would want to keep the asset rather than exit it, which is what a continuation vehicle exists to handle.

What the item omits is the number everyone involved had to agree on, and that is the more informative detail: where capital is abundant and single assets of this quality are not, the price can stay between the parties and the deal can still be reported as closed. Dry powder was never the question here.

Watch the next fertility continuation vehicle: if it also closes without a published figure, the comp for this slice of healthcare services is a number agreed between a sponsor and its lead buyer, and the GP-led market has settled on that as sufficient. One line in a future announcement could settle it the other way; the record so far leaves it unwritten.
